MidOcean Partners Announces Agreement to Sell Thompson Publishing Group

New York. NY, November 20, 2006 - MidOcean Partners. a New York and London-based private investment firm, today announced that it has agreed to sell its interest in Thompson Publishing Group (TPG), a leading provider of subscription based information services, to its partner Avista Capital Partners.

Founded in 1972, Thompson Publishing is one of the foremost professional publishers of information on complex laws and regulatory mandates, with more than 350 publications and approximately 110,000 subscribers, Thompson serves professionals in the human resource, education, government grants, and banking fields via subscription-based handbooks, newsletters, reference services, single-issue publications, and the internet.

Terms of the transaction, which is expected to close by year-end, were not disclosed.

MidOcean acquired its interest in TPG in May 2004 and in August 2005 helped to manage the company through the strategic acquisition of Sheshunoff, a leading publisher of “how-to” publications for financial institution professionals. In July 2006, Avista acquired Credit Suisse’s interest in TPG. Avista and MidOcean managed the acquisition of American Health Consultants, the world’s largest publisher of health care newsletters, in late August 2006.
